When buying a company, 2 types of costs have to be planned in: direct purchasing costs and legal fees related to the conversion of the company to its new structure.
Purchasing costs and base capital:
The purchasing costs cosist of the following:
- Notary, company register and other authority fees for company transfer and personalisation (notary costs etc.) ca. € 1.800;
- Legal fees in relation to the purchasing of the shelf company (pre-discussion and negotiation of the purchasing contract), as by time needed, ca. € 1.500;
- The pay-in of the base capital of € 25.000 or - in case of a shelf company is been purchased - the purchasing price of ca. € 28.000.
In both cases, the amount of € 25.000 can then be used for carrying out the company business.
Legal fees for conversion and registration of the company:
The following fees apply in relation to the personalisation of the GmbH:
- Legal fees for processing for the conversion and personalisation of the company (name change, working out company statutes and CEO-Employment contract), as by time needed, ca. € 6.500;

Legal fees related to the communication of the establishment of the new company to other involved authorities (Revenue, trading supervision departments, IHK etc), as by time needed, ca. € 2.800.
